These Terms govern the use of Axario Business, operated by Praxis Marketing Consultancy (Pty) Ltd, trading as Axario (Registration Number 2025/558202/07).

1. Acceptance of Terms
By accessing or using Axario, you agree to these Terms and our Privacy Policy.
2. Service Description
Axario is a software-as-a-service platform providing:
- Asset management tools
- Compliance tracking systems
- Maintenance scheduling
- Operational reporting
- Contractor task management
Axario is a software tool only and does not provide professional services.
3. No Professional Advice
Axario does NOT provide:
- Legal advice
- Engineering advice
- Regulatory compliance advice
- Safety certification
- Audit services
All information is provided for operational support only. Axario is not a legal advisory service, compliance certification body, regulatory authority, engineering or safety consultant, auditor or inspector.
4. Informational Use Only
Axario provides tools, templates, workflows, reminders and reporting. It does NOT provide professional advice of any kind.
5. No Guarantee of Compliance
Use of Axario does NOT guarantee:
- Legal compliance
- Regulatory compliance
- Audit success
- Certification approval
- Insurance acceptance
Compliance remains the responsibility of the user organisation.
6. User Responsibilities
Users are solely responsible for:
- Understanding applicable laws
- Ensuring compliance with regulations
- Verifying accuracy of all data entered
- Verifying all outputs and templates
- Seeking professional advice where required
- Proper use of the platform
7. Template Disclaimer
All templates and frameworks provided within Axario are guidance only and may not be suitable for all jurisdictions or industries. Users must review and adapt all templates to their specific context before reliance.
8. Report Disclaimer
All reports generated by Axario are based on user-provided data and are not independently verified. Accuracy of outputs depends on accuracy of inputs.
9. Organisation Model
Each organisation operates as an isolated tenant.
- Organisation boundaries are strictly enforced
- Data is not shared across organisations
10. Service Provider & Contractor Model
- Service Provider: organisational operating model managing client portfolios within a single organisation.
- Contractor: invited user performing assigned tasks only.
Contractors do not have administrative or portfolio management rights.
11. Dual Perspective
Dual Perspective is a view/filter system only and does not change permissions or data access boundaries.
12. User Content
Users retain ownership of their uploaded content.
Users grant Axario a licence to store, process and display content for operational purposes.
13. Intellectual Property
All intellectual property rights in and to the Axario platform and services, including the software, source code, user interface, designs, graphics, text, documentation, reports, templates, workflows, methodologies, database structures, features, functionality, branding, trade marks and other proprietary materials, are owned by or licensed to Praxis Marketing Consultancy (Pty) Ltd, trading as Axario, except where otherwise expressly stated.
Nothing in these Terms transfers any intellectual property rights belonging to Axario to the user. Users may access and use the platform only for the purposes permitted under these Terms.
Users may not, except where permitted by applicable law, copy, reproduce, modify, distribute, sell, license, commercially exploit, reverse engineer or otherwise use Axario's proprietary materials without prior written permission.
Certain components, software, services, content or other materials used by or made available through Axario may be owned by third parties and are subject to the applicable third-party rights and licence terms.
Users retain ownership of the information, documents and other content they upload to Axario, as set out in clause 12, subject to the rights reasonably required by Axario to provide the services in accordance with these Terms.
14. Prohibited Use
Users may not:
- Attempt to breach system security
- Access other organisations' data
- Misuse the platform for unlawful purposes
15. Limitation of Liability
To the maximum extent permitted by law, Axario is not liable for:
- Fines
- Penalties
- Compliance failures
- Regulatory action or penalties
- Financial or business losses
- Business interruption
- Indirect or consequential damages
16. Termination
We may suspend or terminate access for violation of these Terms.
17. Governing Law
These Terms are governed by the laws of the Republic of South Africa.
Where users operate in other jurisdictions, local mandatory laws may also apply.
18. Founding Customer Terms
18.1 Definition
A Founding Customer is an early adopter organisation granted access to Axario during its pre-commercial phase.
18.2 Purpose
Founding Customers:
- Provide feedback on product development
- Assist in validating features and workflows
- May be used as reference customers (with consent)
18.3 Status
Founding Customer status:
- Is not a permanent discount model
- Is not a free service entitlement
- Does not guarantee future pricing benefits
18.4 Early Access Nature
The platform may change significantly during the founding phase. Features, pricing and structure may evolve.
18.5 Limitation of Liability
Axario is provided "as is" during the founding phase, without warranties of performance or suitability.
18.6 Transition
Axario may transition Founding Customers into standard commercial plans once pricing is introduced.
